Terms of Service

This page is a good-faith draft. It has not yet been reviewed by qualified counsel, does not name a governing law or venue yet, and is not a final, binding agreement. Until a signed order form or agreement is in place, your use of KeyCustody during evaluation or early access is governed by whatever written agreement your organization has with us. 1. Acceptance of terms
By accessing or using KeyCustody, you agree to these terms on behalf of yourself and, if you are using KeyCustody for an organization, on behalf of that organization. If you do not agree, do not use the service.
2. Description of service
KeyCustody is key custody management software: it helps organizations track physical keys, keypad and lockbox codes, safe combinations, PINs, and fobs — and prove who had access, when, and why. KeyCustody is not cryptographic key management, password management, or crypto/asset custody, and these terms do not apply to those kinds of services.
3. Accounts and access
Your organization's administrators are responsible for managing who has access to your organization's KeyCustody workspace and what role each person holds. You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at security@keycustody.io if you suspect unauthorized use of your account.
4. Your data
Your organization owns the data it enters into KeyCustody. You grant us a limited license to host, process, and display that data solely to provide the service to your organization. We describe how we handle information in our Privacy Policy.
5. Acceptable use
You agree not to:
- Use KeyCustody for any unlawful purpose or in violation of any applicable law.
- Attempt to access another organization's data, circumvent tenant isolation, or probe, scan, or test the vulnerability of the service without authorization.
- Reverse engineer, decompile, or attempt to extract the source code of the service.
- Interfere with or disrupt the integrity or performance of the service or the data it contains.
6. Fees and billing
If your organization subscribes to a paid plan, fees and billing terms are governed by your order form or subscription agreement with us. This section will be expanded once self-serve billing is available.
7. Intellectual property
KeyCustody and its underlying software, design, and branding are owned by us and our licensors. These terms do not grant you any rights to our intellectual property except the limited right to use the service as intended.
8. Disclaimers
The service is provided "as is" and "as available." We make no warranties, express or implied, about the service, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in a signed agreement with your organization.
9. Limitation of liability
To the maximum extent permitted by law, KeyCustody will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the service.
10. Termination
Either party may terminate an agreement for KeyCustody as described in that agreement. On termination, we will work with your organization on exporting and deleting your data consistent with our Privacy Policy and your agreement with us.
11. Governing law and venue
The governing law and venue for these terms have not yet been finalized. They will be specified here once determined, and in the interim are set out in your organization's signed agreement with us where one exists.
12. Changes to these terms
We may update these terms as the service evolves. We will update the "Last updated" date above, and for material changes we will provide reasonable notice.
